Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(d)    On February 18, 2022, NextEra Energy, Inc.'s (NEE) Board of Directors (Board) approved an increase in the size of the Board from twelve members to thirteen members and, in accordance with the previously announced chief executive officer succession plan, appointed John W. Ketchum to fill the newly created directorship, effective March 1, 2022. Mr. Ketchum will be a member of the Board’s Executive Committee. Mr. Ketchum has served in his current role as the President and Chief Executive Officer of NextEra Energy Resources, LLC, a subsidiary of NEE, since March 2019 and served as Executive Vice President and Chief Financial Officer of NEE from March 2016 to March 2019. Mr. Ketchum will not receive any additional compensation for service as a member of the Board.
