Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 18, 2024, David Villarreal, a member of the Board of Directors (the “Board”) of Safe & Green Holdings Corp. (the “Company”), notified the Company of his decision to resign from the Board, effective October 18, 2024. Mr. Villarreal’s resignation was for personal reasons and not due to a disagreement on any matter related to the Company’s operations, policies or practices. Prior to his resignation, Mr. Villarreal was not serving as a member of any Company committee.
