Item 8.01. Other Events.


On September 7, 2023, Elizabeth Cormier-May, a director of Safe & Green Holdings Corp. (the “Company”), informed the Company that she wanted to accept a position as an employee of Safe and Green Medical Corporation, a subsidiary of the Company which provides local, point-of-care medical services, and resigned from her board committee appointments. Although Ms. Cormier-May will remain one of our directors, on September 8, 2023, the Board of Directors of the Company (the “Board”) determined that Ms. Cormier-May was no longer an independent director of the Company and accepted Ms. Cormier-May’s resignation from her board committee appointments. On September 8, 2023, the Board appointed Jill Anderson to replace Ms. Cormier-May as chair of the Compensation Committee of the Board.
