Item 5.02. Departure of Directors or CertainOfficers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 25, 2022, the compensation committee of the board of directors of SG Blocks, Inc. (the “Company”) approved the payment of a $100,000 cash bonus to Paul Galvin, the Company’s Chairman and Chief Executive Officer, a $75,000 cash bonus to William Rogers, the Company’s Chief Operating Officer, and a $56,250 cash bonus to Gerald Sheeran, the Company’s Acting Chief Financial Officer, for their service to the Company during fiscal 2021.
