Explanatory Note:
This Amendment No. 1 on Form 8-K/A (the “Amended 8-K”) is being filed as an amendment to the Current Report on Form 8-K filed by Old Republic International Corporation (“ORI”) with the Securities and Exchange Commission on May 31, 2023 (the “Original 8-K”). The sole purpose of this Current Report on Form 8-K/A is to disclose, pursuant to Item 5.07(d) of Form 8-K, ORI’s determination on the frequency of future say-on-pay votes. Except as set forth herein, no other changes have been made to the Original 8-K.
Item 5.07. Submission of Matters to a Vote of Security Holders
As reported in the Original 8-K, at ORI’s Annual Meeting of Shareholders held on May 25, 2023, a majority of ORI’s shareholders that voted on the matter indicated a preference to hold, on a non-binding advisory basis, ORI’s future non-binding advisory votes on executive compensation (“say-on-pay”) on an annual basis. In light of this result and in accordance with the Board’s recommendation, the Board has determined that ORI will conduct “say on pay” votes on an annual basis until the next required shareholder advisory vote regarding the frequency of such votes.
