Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain<br> Officers.

On August 15, 2025, Ms. Julie Beck, a member of the Board of Directors (the “Board”) of Tronox Holdings plc (the “Company”) and a member of the Audit Committee of the Board, notified the Company of her decision to resign from the Board effective as of September 30, 2025.  Ms. Beck’s decision to resign from the Company’s Board was due to her recent appointment as Senior Vice President, Chief Financial Officer and Treasurer of MSA Safety Incorporated (NYSE:MSA) and the time commitments which such position will require. Ms. Beck’s resignation was not due to any disagreement with the Company on any matter relating to the Company's operations, policies, or practices.
