On March 10, 2020, Stephane Kasriel resigned as a member of Upwork Inc.’s (the “Company”) Board of Directors, effective March 10, 2020. Mr. Kasriel had previously announced in December 2019 that he was not intending to stand for re-election at the Company’s 2020 annual meeting of stockholders in June 2020. Mr. Kasriel’s resignation was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
