Explanatory Note
This Current Report on Form 8-K/A amends Item 5.02 of the Current Report on Form 8-K of Visteon Corporation (the “Company”), originally filed on January 27, 2022 (the “Initial Filing”). The Initial Filing reported, among other things, the appointment, effective February 1, 2022, of Bunsei Kure as a director of the Company. This Form 8-K/A is being filed solely to report the Board committees to which Mr. Kure was appointed effective February 10, 2022. Other than the additional information supplied by this amendment, no changes are being made to the Initial Filing.
SECTION 5 – CORPORATE GOVERNANCE AND MANAGEMENT
Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
On February 10, 2022, the Board appointed Mr. Kure to the Corporate Sustainability and Governance Committee and the Organization and Compensation Committee of the Board effective immediately.
