Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On May 23, 2025, VSee Health, Inc. (the “Company”) received a notice (the “Notice”) from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) as a result of its failure to timely file its Annual Report on Form 10-Q for the period ended March 31, 2025 (the “Form 10-Q”) with the Securities and Exchange Commission (the “SEC”).
The Notice has no immediate effect on the listing of the Company’s Common Stock (Nasdaq: VSEE) or the Company’s public warrants (Nasdaq: VSEEW) on Nasdaq. The Notice informed the Company that, under Nasdaq rules, the Company has 60 calendar days to submit a plan to regain compliance, and if the Staff accepts such plan, they can grant an exception of up to 180 calendar days from the Form 10-Q’s due date (or until October 13, 2025).
The Company intends to take the necessary steps to regain compliance with Nasdaq’s listing rules as soon as practicable and currently expects to submit a plan of compliance with Nasdaq and/or file the Form 10-Q within the 60-day period granted by Nasdaq in the Notice. However, there can be no assurance that a plan of compliance will be submitted within such period, the Form 10-Q will be filed within such period, the Staff will grant the Company an exception of up to 180 calendar days from the Form 10-Q’s due date, or that the Company will be able meet the continued listing requirements during any compliance period that may be granted by Nasdaq.
