| Item 1.01 | Entry into a Material Definitive Agreement. |
On September 8, 2026, Worthington Steel GmbH, a limited liability company under German law (“Worthington Steel GmbH”) and an indirect wholly-owned subsidiary of Worthington Steel, Inc. (the “Company”), as the controlling company, entered into a Domination and Profit and Loss Transfer Agreement (the “DPLTA”) with Klöckner & Co SE, a European stock corporation (Societas Europaea) incorporated under the laws of Germany (“Kloeckner”), as the controlled company.
The effectiveness of the DPLTA remains subject to (i) the approval of the DPLTA by Kloeckner’s general meeting with a qualified majority and Worthington Steel GmbH’s shareholder’s meeting and (ii) the registration of the DPLTA with the commercial register (Handelsregister) of the local court (Amtsgericht) at the registered seat of Kloeckner, with effectiveness to occur no earlier than January 1, 2027. While Kloeckner is expected to apply for registration of the DPLTA without undue delay after the expiry of the statutory contestation period for the general meeting resolution, registration may be delayed considerably pending potential shareholder litigation, if any, in Germany.
Under the DPLTA, when effective and subject to certain limitations pursuant to applicable law, (i) Worthington Steel GmbH will be entitled to issue binding instructions to the management board of Kloeckner, (ii) Kloeckner will transfer all of its annual profits to Worthington Steel GmbH, subject to, among other things, the creation or dissolution of certain reserves, and (iii) Worthington Steel GmbH will generally absorb all annual losses incurred by Kloeckner.
Additionally, according to the terms and conditions of the DPLTA, Worthington Steel GmbH will offer, at the election of each outside shareholder of Kloeckner, (i) to acquire the shares of such shareholder for a cash compensation of EUR 11.00 per share pursuant to Section 305 of the German Stock Corporation Act (Aktiengesetz, “AktG”), or (ii) to pay such shareholder a recurring annual compensation payment pursuant to Section 304 of the AktG in a gross amount of EUR 0.67 per share (EUR 0.66 net under the current taxation regime) for each full fiscal year of Kloeckner.
The adequacy of both forms of compensation may be challenged by outside shareholders of Kloeckner via court-led appraisal proceedings (Spruchverfahren) under German law, and it is possible that the courts in such appraisal proceedings may adjudicate higher compensation than agreed upon in the DPLTA. Such court-led appraisal proceedings will not delay the registration of the DPLTA with the relevant commercial register (i.e., the effectiveness of the DPLTA).

| 1.1 KCO unterstellt WS die Leitung ihrer Gesellschaft ab dem Zeitpunkt, in dem dieser Vertrag gemäß Ziffer 6.2 dieses Vertrags wirksam wird. 1.1 KCO agrees that the management of its company shall be under the control of WS as from the date of the effectiveness of this Agreement in accordance with Section 6.2 of this Agreement. Accordingly, WS shall be entitled, to the extent permitted by law, to issue instructions to the management board (Vorstand) of KCO with respect to the management of KCO in general or on a case-by-case basis. | |

| 3.2 Die Verpflichtung zur Verlustübernahme wird jeweils am Ende eines Geschäftsjahres von KCO fällig. Im Falle der Zahlungsunfähigkeit, drohenden Zahlungsunfähigkeit oder Überschuldung nach den §§ 17-19 der Insolvenzordnung in ihrer jeweils gültigen Fassung kann KCO eine Vorabübernahme von Verlusten verlangen. Ansprüche auf Vorabübernahme von Verlusten aus anderen Rechtsgründen bleiben unberührt. Die Vorabübernahme von Verlusten ist auf den später festgestellten Betrag des Verlusts anzurechnen und ein den Verlust übersteigender Betrag ist mit Fälligkeit zum Ende des Geschäftsjahres von KCO auszugleichen. 3.2 The obligation to assume any losses becomes due at the end of each financial year of KCO. In case of insolvency, imminent insolvency or overindebtedness within the meaning of Sections 17 to 19 of the German Insolvency Code (Insolvenzordnung), KCO may request that losses are assumed in advance. Claims for an advance assumption of losses on other legal grounds remain unaffected. The preliminary assumption of losses shall be credited against the subsequently determined amount of the loss, and any amount exceeding the loss shall be settled with effect due as of the end of the financial year of KCO. Instead of a settlement payment, the Parties may mutually agree that the amount to be settled shall be provided by WS to KCO as an interest-bearing loan, effective from the end of the financial year of KCO. | |
| 4. AUSGLEICHSZAHLUNG |
4. COMPENSATION PAYMENT | |
| 4.1 WS verpflichtet sich, den außenstehenden Aktionären von KCO ab dem Geschäftsjahr von KCO, für das erstmals der Anspruch von WS auf Gewinnabführung nach Ziffer 2 dieses Vertrags besteht, für die Dauer dieses Vertrags als angemessenen Ausgleich nach § 304 Abs. 1 AktG eine wiederkehrende Geldleistung (“Ausgleichszahlung”) zu zahlen. |
4.1 WS undertakes to pay to the outside shareholders of KCO as adequate compensation pursuant to Section 304 para. 1 AktG a recurring annual cash compensation (wiederkehrende Ausgleichszahlung) (“Compensation Payment”) for the duration of this Agreement from the fiscal year of KCO for which WS is entitled to a profit transfer pursuant to Section 2 of this Agreement for the first time. | |
| 4.2 Die Ausgleichszahlung beträgt für jedes volle Geschäftsjahr von KCO für jede auf den Namen lautende Stückaktie (nennwertlose Namensaktie) von KCO mit einem rechnerischen Anteil am Grundkapital in Höhe von EUR 2,50 (jeweils einzeln “KCO-Aktie” und zusammen “KCO-Aktien”), einen Bruttobetrag von EUR 0,67 abzüglich des Betrags etwaiger Körperschaftsteuer und des Solidaritätszuschlags nach dem jeweils für diese Steuern für das betreffende Geschäftsjahr geltenden Steuersatz, wobei dieser Abzug nur auf der Grundlage des anteiligen Bruttobetrags von EUR 0,04 je KCO-Aktie zu berechnen ist, der aus Gewinnen resultiert, die der deutschen Körperschaftsteuer unterliegen. Nach den Verhältnissen zum Zeitpunkt des Abschlusses dieses Vertrags unterliegt der anteilige Bruttobetrag von EUR 0,04 je KCO-Aktie, der sich auf die mit deutscher Körperschaftsteuer belasteten Gewinne von KCO bezieht, einem Abzug von 15 % Körperschaftsteuer zzgl. 5,5 % Solidaritätszuschlag, d.h. EUR 0,01. Zusammen mit dem verbleibenden anteiligen Bruttobetrag von EUR 0,62 je KCO-Aktie, der sich auf nicht der deutschen Körperschaftsteuer unterliegende Gewinne bezieht, beträgt die Ausgleichszahlung nach den Verhältnissen zum Zeitpunkt des Abschlusses dieses Vertrags EUR 0,66 je KCO-Aktie für jedes volle Geschäftsjahr. Klarstellend wird vereinbart, dass etwaige Quellensteuern (wie z.B. Kapitalertragsteuer zzgl. Solidaritätszuschlag) von der Ausgleichszahlung einbehalten werden, soweit dies gesetzlich vorgeschrieben ist. Die Ausgleichszahlung ist am ersten Bankarbeitstag nach der ordentlichen Hauptversammlung von KCO für das jeweils vorangegangene Geschäftsjahr fällig, in jedem Fall jedoch innerhalb von acht Monaten nach Ablauf des jeweiligen Geschäftsjahres. |
4.2 The Compensation Payment amounts for each full fiscal year of KCO for each no-par value registered share (nennwertlose Namensaktie) in KCO with a mathematical portion in the share capital in the amount of EUR 2.50 (each “KCO Share” and together “KCO Shares”) to a gross sum (Bruttobetrag) of EUR 0,67 minus the amount of any corporate income tax and the solidarity surcharge in accordance with the respective tax rate applicable for these taxes for the relevant fiscal year, whereby this deduction is to be calculated only on the basis of the pro rata gross sum of EUR 0,04 per KCO Share resulting from profits which are subject to German corporate income tax (Körperschaftsteuer). Based on the situation at the time of conclusion of this Agreement, the pro rata gross sum of EUR 0,04 for each KCO Share, which relates to profits made by KCO being subject to the German corporate income tax, is subject to a deduction of 15% corporate income tax plus 5.5% solidarity surcharge (Solidaritätszuschlag), that is EUR 0,01. Together with the remaining pro rata gross sum of EUR 0,62 for each KCO Share, relating to profits not being subject to the German corporate income tax, the Compensation Payment amounts to EUR 0,66 for each KCO Share for each full fiscal year, based on the situation at the time of conclusion of this Agreement. For the avoidance of doubt, it is agreed that any withholding tax (such as capital gains tax (Kapitalertragsteuer) plus solidarity surcharge thereon) shall be withheld from the Compensation Payment to the extent required by statutory law. The Compensation Payment is due on the first banking day following the ordinary general shareholders’ meeting of KCO for any respective preceding fiscal year but in any event within eight months following expiration of the relevant fiscal year. | |

4.3 The Compensation Payment is granted for the first time for the full fiscal year of KCO for which the claim of WS to transfer of profit under Section 2.1 in conjunction with Section 6.2 of this Agreement becomes effective. If this Agreement ends during a fiscal year of KCO or if KCO establishes an abbreviated fiscal year (Rumpfgeschäftsjahr) while the obligation according to Section 2 of this Agreement is existing, the Compensation Payment is reduced pro rata temporis. | |
| 4.4 Im Falle einer Erhöhung des Grundkapitals von KCO aus Gesellschaftsmitteln gegen Ausgabe neuer Aktien vermindert sich die Ausgleichszahlung je KCO-Aktie in dem Maße, dass der Gesamtbetrag der Ausgleichszahlung unverändert bleibt. Wird das Grundkapital von KCO durch Bar- und/oder Sacheinlagen erhöht, gelten die Rechte aus dieser Ziffer 4 auch für die von außenstehenden Aktionären bei einer solchen Kapitalerhöhung gezeichneten Aktien. Der Beginn der jeweiligen Gewinnberechtigung der neuen Aktien gemäß dieser Ziffer 4 entspricht der von KCO bei Ausgabe der neuen Aktien festgelegten Gewinnberechtigung. |
4.4 If the share capital of KCO is increased from the reserves in exchange for the issuance of new shares, the Compensation Payment for each KCO Share is reduced to such an extent that the total amount of the Compensation Payment remains unchanged. If the share capital of KCO is increased by cash contributions and/or contributions in kind, the rights under this Section 4 also apply for the shares subscribed to by outside shareholders in such capital increase. The beginning of each entitlement of the new shares pursuant to this Section 4 corresponds to the dividend entitlement set by KCO when issuing the new shares. | |

Worthington Steel Signs Domination and Profit and Loss Transfer Agreement with Kloeckner & Co SE
Kloeckner shareholder vote expected to take place on October 23, 2026
COLUMBUS, OHIO (September 8, 2026)—Worthington Steel, Inc., (NYSE: WS) announced today that it has signed a domination and profit and loss transfer agreement (“DPLTA”) pursuant to Sections 291 et seq. of the German Stock Corporation Act (AktG) with Kloeckner & Co SE (“Kloeckner”) as the controlled company via its wholly owned subsidiary, Worthington Steel GmbH.
The signing follows the completion of Worthington Steel’s voluntary public takeover offer for Kloeckner on June 3, 2026, and the subsequent delisting of Kloeckner shares from the regulated market of the Frankfurt Stock Exchange, effective August 12, 2026.
“We are pleased to have reached another important milestone in bringing Worthington Steel and Kloeckner together,” said Geoff Gilmore, president and CEO of Worthington Steel. “We continue to make good progress through the planned steps in the process. Subject to the required shareholder approval and completion of the remaining steps, we look forward to moving into the next phase in our combination and to working together to realize the opportunities ahead.”
The DPLTA is subject to approval by Kloeckner shareholders. At least 75% of the share capital represented must approve the agreement at a Kloeckner general meeting. An extraordinary general meeting is expected to take place on October 23, 2026.
Following shareholder approval and completion of the further required steps, the DPLTA will become effective upon registration with the commercial register at Kloeckner’s registered seat, at the earliest on January 1, 2027.
The DPLTA, the joint report of the management boards and further documents relating to the DPLTA will be made available on www.strong-for-good.com upon publication of the invitation to Kloeckner’s extraordinary general meeting.
