On July 3, 2025, Gianluca “Luke” Guy, a member of the Board of Directors of Zeo Energy Corp., a Delaware corporation (the “Company”), notified the Company of his decision to resign, effective July 4, 2025, from his position as a member of the Board of Directors. Mr. Guy’s departure is for personal reasons and is not the result of any disagreement with management or the Company’s Board of Directors on any matter relating to the Company’s operations, policies or practices.
