Emergent BioSolutions (EBS $6.20 -1.43%) reports Q3 2026 results in early November. The quarter follows a guidance cut, a $191.3M impairment on NARCAN, a $40M restructuring and the repurchase of $75M of its 2028 notes. We rebuilt our quarterly model from the company's filings and contract history to see where Q3 and Q4 land.
Our answer: Q3 revenue sits at the top of management's range, and the full year comes in above it. The gap is not NARCAN. It is two annual smallpox procurements that the U.S. government has not announced yet.
The data behind this piece

Why Q3 steps down after a record Q2
MCM revenue is lumpy because it follows U.S. government contract modifications and delivery schedules. Q2 2026 was the strongest second quarter since 2020 at $168M, helped by deliveries the government accelerated from later in the year. That pull-forward is why management guided Q3 lower, and why our Q3 MCM figure is only $58M.
Our forecast for Q3 and Q4 2026
Q1 and Q2 are reported. Q3 and Q4 are our estimates. Dollar figures are in millions, except per-share amounts.

Adjusted EBITDA for Q3 and Q4 is our calculation on the company's definition: operating profit plus amortization ($10.65M a quarter), depreciation ($6.9M), restructuring charges and stock-based compensation ($5.1M). Full-year EPS uses the average share count. Guidance is from the August 5, 2026 earnings release; consensus is a three-analyst average captured on September 18.
Why we forecast above guidance
Management guided full-year MCM revenue "flat to slightly down" and repeated it on the Q2 call. With $269.8M of MCM booked in the first half, flat MCM needs about $187M in the second half. We put $58M in Q3 and $129M in Q4, because modifications signed in late summer have historically shipped in Q4: CYFENDUS Modification 20 was signed in August 2025, and Anthrax MCM revenue was $53.4M in Q4 2025.
How we build Q4 MCM revenue
| Line | Customer | Award | Status | Q3F | Q4F |
|---|---|---|---|---|---|
| CYFENDUS, Modification 21 | BARDA | $24.0M, Aug 18 | Awarded | 0 | 24 |
| BioThrax 2026 delivery order | Department of War | $21.5M, Jan 8 | Awarded | 4 | 6 |
| Other anthrax (Anthrasil, raxibacumab, international) | Various | Run-rate | Model | 4 | 10 |
| VIGIV (CNJ-016) annual procurement | HHS | ~$52M | Predicted | 0 | 52 |
| TEMBEXA procurement option | BARDA | ~$17M | Predicted | 0 | 17 |
| Government of Canada MCM awards | Canada | ~$140M, Q1 | Awarded | 25 | 5 |
| International smallpox orders and ACAM2000 diluent | International, ASPR | Ongoing | Model | 13 | 3 |
| BAT and other MCM | HHS, international | Run-rate | Model | 12 | 12 |
| Total MCM | 58 | 129 |
The two predictions follow the award calendar. HHS signed a $51.9M VIGIV modification in Q2 2025, and no 2026 award has been announced, so we expect one late in the year. BARDA exercised a $17.1M TEMBEXA option in September 2025, and we expect the same option in 2026. The same calendar places the next ACAM2000 option year (~$55M), the next BAT modification (~$63M) and the next BioThrax order (~$21M) in 2027, which we leave out.
Where the gap to guidance comes from
| FY 2026, $M | Guidance | Consensus | Our model | Our model without VIGIV and TEMBEXA |
|---|---|---|---|---|
| Revenue | 645 to 675 | 657.1 | 689.9 | 620.9 |
| Adjusted EBITDA | 130 to 150 | n/a | 173.7 | 146.1 |
| Net income (loss) | -245 to -225 | n/a | -206.2 | -233.8 |
Removing the two predicted awards takes $69M of revenue and about $28M of gross profit out of Q4, at our 60% Q4 MCM cost ratio. Revenue then falls below the guide, while adjusted EBITDA and net loss land inside it. We read the guidance as assuming little or no unannounced procurement in Q4, plus a steeper NARCAN decline than ours. Management met or beat its own guidance in 7 of the last 8 settled comparisons, including Q2 2026, when revenue beat the top of the range by $49M.
Our margin view is the other difference. Guidance implies an adjusted gross margin of 22% to 29% on second-half product sales of $244M to $274M. We model about 37%, with an MCM cost ratio of 40% in Q3 and 60% in Q4. Low-volume quarters absorb the fixed costs of the Lansing and Winnipeg plants, so gross margin is the line most likely to disappoint in Q3.
NARCAN: a midpoint decline on last year's seasonal shape
We apply a 22.4% year-over-year decline, the midpoint of management's 20% to 25% commercial guide, to each second-half quarter of 2025. That keeps last year's shape: a strong Q3 from back-to-school and public-access orders ($74.9M in Q3 2025) and a weak Q4 ($38.4M). The result is $58.1M in Q3 and $29.8M in Q4.
Because first-half NARCAN only fell 15.5%, our full-year figure of $183.3M is down 18.9%, about $2M above the top of the guided range.
Two new nasal naloxone products arrived mid-year: a 4mg over-the-counter approval on June 16 and a 10mg prescription product launching in August. Management cut full-year revenue guidance by $80M at the midpoint, mostly for naloxone, and took a $191.3M non-cash impairment on the NARCAN intangible, leaving $81.9M on the balance sheet. Lower amortization from Q3 onward is a small tailwind to GAAP earnings.
The $75M note repurchase is complete
In August the board authorized up to $75M of repurchases of the 3.875% senior unsecured notes due August 2028. Emergent announced completion on September 3, using $68M of cash on hand, about 90.6% of face value. The note balance fell from $439.7M to $364.7M.
What the repurchase does to our model:
- A gain on extinguishment of about $6.8M in Q3: the $7.1M discount to face, less about $0.3M of unamortized issuance costs.
- Note interest falls by $2.9M a year. Q3 carries two months on the old balance ($4.0M); Q4 runs at $3.5M.
- Full-year interest expense of $40.0M, in line with the ~$40M guide.
Why it was a good use of cash: at 90.6 with under two years to maturity, the notes yielded about 9.2%, close to the cost of the term loan (Term SOFR with a 3% floor, plus 6.25%). It was paid from cash rebuilt by the $145M of receivables collected in July, without new borrowing.
The next deadline is May 2028. The $150M term loan matures in April 2031, but its maturity moves to 91 days before the notes' August 15, 2028 maturity if more than $75M of notes are still outstanding and liquidity is short of $75M plus the note balance. The revolving credit facility has a similar springing date of May 17, 2028. With $364.7M of notes left, Emergent needs a refinancing or further repurchases by early 2028.
The $40M cost program
Emergent announced a restructuring with its Q2 results on August 5: about 93 employees and 21 vacant positions eliminated, its Gaithersburg wet laboratories closed, an unused Maryland office building sold for about $6.4M, and a central warehouse lease exited. The 8-K estimates charges of $10M to $11.5M, mostly in the second half of 2026, and annual savings of about $40M "when fully implemented."
| Restructuring assumption | Q3 2026F | Q4 2026F | 2027 |
|---|---|---|---|
| Share of the $10M quarterly run-rate realized | 50% | 100% | 100% |
| Savings in the period ($M) | 5.0 | 10.0 | 40.0 |
| Booked in SG&A ($M) | 2.5 | 5.0 | 20.0 |
| Booked in commercial cost of sales ($M) | 2.5 | 5.0 | 20.0 |
| One-off cost to achieve, $11M total ($M) | 8.3 | 2.8 | 0.0 |
A full run-rate in Q4 2026 matches management's timing; the CEO said the full $40M would show up "in the full year of 2027." Our Q3 assumption is the aggressive one, because the plan was announced five weeks into the quarter and severance runs through it. With no Q3 savings, the Q3 net loss widens from $21.0M to $26.0M, and EPS from -$0.41 to -$0.51.
Cash and balance sheet
Q3 is the cash quarter. Receivables were $190M at June 30, and $145M was collected in July from Q2 deliveries. We assume receivables end each quarter at 70% of that quarter's revenue, which releases about $100M in Q3, and that inventory releases $10M a quarter. Q4 gives some of it back as the large MCM deliveries are billed.
Cash goes from $140.9M at June 30 to $169.3M at September 30 and $144.6M at year-end, including restricted cash. Share buybacks continue at $9M a quarter under the $50M authorization that runs to March 2027, with $37.5M remaining at June 30. At $7.00 to $7.50 a share, that retires about 1.2M to 1.3M shares a quarter, partly offset by 0.6M new shares from stock compensation.

What management said
“Emergent delivered a strong second quarter, significantly exceeding the high end of our guidance range with revenues of $234 million, primarily driven by accelerated MCM/biodefense contract modifications secured with the U.S. government.”
Joe Papa, CEO, Q2 2026 earnings release
“However, alongside of these strong results, we are at a critical juncture in our turnaround and transformation, primarily stemming from our naloxone business.”
Joe Papa, CEO, Q2 2026 earnings release
“Q3 outlook reflects an anticipated step-down following the accelerated MCM deliveries in the first half, as well as continued commercial pressure from the evolving naloxone marketplace.”
Rich Lindahl, CFO, Q2 2026 earnings call
“As we had previously guided for medical countermeasures, we thought it would be flat to slightly down on the year. Our view really hasn't changed for that segment.”
Rich Lindahl, CFO, Q2 2026 earnings call
“We expect these restructuring actions to generate approximately $40 million in annualized net savings and other improvements, partially offset by approximately $11 million of cost to achieve.”
Rich Lindahl, CFO, Q2 2026 earnings call
“Obviously, the full run rate of that would be in the full year of 2027, but we're starting now. We'll pick up some in 2026, but the full run rate of a 40 million would be in 2027 and beyond.”
Joe Papa, CEO, Q2 2026 earnings call
“At the midpoint, the adjusted EBITDA reduction is substantially less than the revenue reduction because the lower revenue outlook is partially offset in [2026] by the impact of the cost savings initiative announced today, along with continued operating expense discipline.”
Rich Lindahl, CFO, Q2 2026 earnings call
“[T]he $75 million authorization is specifically to repurchase the senior unsecured notes.”
Rich Lindahl, CFO, Q2 2026 earnings call
“The collection of the $145 million is all from accounts receivable related to deliveries that occurred in the second quarter and that were in the balance as of the end of the second quarter. It is not related to a securitization or any other kind of financing facility.”
Rich Lindahl, CFO, Q2 2026 earnings call
“But we do expect to see additional price erosion, to be clear. We think the market should be flat, maybe in terms of total [naloxone] unit[s], should be relatively flat.”
Joe Papa, CEO, Q2 2026 earnings call
“We have had to price the product competitively, which means we have to come closer to where the generics are. We don't have to match them, but we have to certainly be close with that.”
Joe Papa, CEO, H.C. Wainwright Global Investment Conference, September 14, 2026
“We've made an additional $75 million payment on the gross debt, and got it down to $515 million, and our EBITDA leverage is now down to about a little less than two.”
Joe Papa, CEO, H.C. Wainwright Global Investment Conference, September 14, 2026

Risks to our forecast
- Award timing. If the VIGIV and TEMBEXA orders slip into 2027, Q4 loses $69M of revenue.
- CYFENDUS follow-on. The original 2016 BARDA contract period ended on September 30, 2026, and no follow-on contract has been announced.
- NARCAN pricing. A faster price response to the new 4mg and 10mg products would hit our 31% Q3 commercial margin first.
- Gross margin. Guidance implies a second-half adjusted gross margin in the 20s; we model about 37%.
- U.S.-made preference. The Q2 10-Q added a risk factor on U.S. government preference for U.S.-made products, which touches BAT, VIGIV and Anthrasil made in Winnipeg.
- 2028 refinancing. $364.7M of notes and the springing maturities described above.
Catalysts we are watching
- Q3 results in early November: revenue against the $110M to $130M range, and any change to full-year guidance.
- A VIGIV or TEMBEXA award announcement before year-end.
- A CYFENDUS follow-on contract or extension.
- Further note repurchases or a refinancing of the 2028 notes.
- Restructuring savings showing up in Q4 SG&A.
- TEMBEXA mpox data from the Africa CDC-led MOSA study, and international ACAM2000 approvals beyond Saudi Arabia and Singapore.
