Mr. Chair, I have an affidavit of mailing from Broadridge Financial Solutions stating that on April 30, 2026, the mailing was commenced of the proxy statement, proxy card, and 2025 annual report to each stockholder of record as of the close of business on April 20, 2026, the date the Board of Directors fixed as the record date for determining stockholders entitled to notice of and to vote at this meeting.

I hereby appoint Peter Jaslow Legal Counsel to the company to serve as Inspector of Election. He is present and will file his oath to faithfully perform the duties of his office with the Secretary of the company. All persons who have signed but not submitted their proxies and all persons acting as proxies for stockholders are requested to submit their proxies with the Inspector of Election for tabulating. We are now ready to hear the report of the inspector of election as to the presence of a quorum. Only holders of record of the common stock of the company at the close of business on April 20, 2026, are entitled to vote at this meeting. I asked Mr. Jaslow, the secretary of this meeting and inspector of election, for a report on the presence of a quorum.

The stockholder list shows that as of April 20, 2026, the record date, there were 18,830,865 shares of common stock entitled to vote at this meeting. The holders of 7,794,169 shares of common stock, or approximately 42% of the voting power on the record date, are represented in person or by proxy. Since this represents more than 33.33% of the voting power of all issued in outstanding common stock entitled to vote on the record date, a quorum is present for purposes of transacting business.

On the basis of the inspector's report, I declare a quorum present, proper notice having been given for the meeting, and there being a quorum for the transaction business, the meeting is lawfully convened. Now that this meeting has been lawfully convened, we will proceed with the formal part of the As stated in the notice of the meeting, the holders of common stock are being asked to consider and take action upon the following matters. One, the election of four directors as named in the proxy statement to serve as members of the Board of Directors until the next annual meeting of stockholders or until their successors investors have been elected and qualified. And two, ratify the appointment of M&K CPA's PLLC as the company's independent registered public accounting firm for the fiscal year ending December 31, 2026. No further business may be brought before the meeting by a stockholder for consideration. Because we have two matters that the stockholders are being asked to consider and take action upon we will delay voting until after both proposals have been presented to the stockholders a summary of each proposal is included in the proxy statement for this meeting copies of which are available through the web portal portal to anyone who would like one the first matter to be presented at this meeting is the election of directors the board of directors have nominated R. Donald Elzey, William Enright, Jason D. Hansen, and Ben Singh to serve as directors of the company until the next annual meeting of stockholders or until their successors have been elected and qualified. Since there have been no other nominations made, I declare that the nominations are closed. The second matter to be presented is the ratification of the appointment of M&K CPAs, PLLC, for the fiscal year 2026. Now that these two proposals have been made for action by the stockholders, all proposals will now be put to a vote. I propose that these matters now be put to a vote of the stockholders. Any stockholder who has not yet voted or wishes to change their vote on either proposal may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in proxies or voted via telephone or Internet and do not want to change their vote do not need to take any further action. I now declare the polls open and voting is in order. The polls will remain open for several minutes, after which time the polls will be closed. Unless otherwise notified, we will assume that all stockholders who are virtually present and who have filed proxies will vote their shares by proxy.

We will then announce the results. Now that everyone has had the opportunity to vote, I now declare the polls closed.

If the Inspector of Election has completed the tabulation of the votes, I ask him to present his report.

Mr. Chair, the report of the Inspector of Election is that the four individuals identified in the company's proxy stamp are the four nominees for director receiving the highest number of votes cast by the stockholders entitled to vote for the election of directors. The resolution ratifying the appointment of MNK CPA's PLLC as the company's independent registered public and county firm for the fiscal year ending December 31, 2026 has been ratified by a majority of votes present in person or represented by proxy and entitled to respect to such proposal.

On the basis of the report of the inspector of election, the four nominees listed in the proxy statement are hereby declared to be duly elected directors of the company, each to hold office for a one-year term unless the next annual meeting of stockholders or until their respective successors are elected and qualified. In addition, the appointment of NNK CPAs PLLC as the company's independent registered public accounting firm for the fiscal year ending December 31, 2026 has been ratified. We will be reporting the final vote results in a Form 10-8K to be filed within four business days. Mr. Jaslow, please file as part of the records of this meeting a copy of the inspector's report. This concludes the formal business of this annual meeting. There being no further business to come before the meeting, the meeting is now adjourned. Meeting officially adjourned at 10.09 a.m. Eastern. Before concluding, on behalf of your directors and management, thank you for your attendance today and for your continued support.
