Welcome to HeartCore Enterprise, Inc. 2026 Virtual Annual Meeting of Stockholders. My name is Sumitaka Yamamoto. I am HeartCore's Chairman of the Board, Chief Executive Officer, and President. I will be moderating today's meeting. At the conclusion of the former business portion of today's meeting, we will open the floor up for questions. As we begin now with the former business of the meeting, I'd like to read a cautionary statement. During the course of this meeting or in answer to questions, we may make forward-looking statement regarding future event or the future performance of the company. Actual event or result could, of course, differ materiality. Moreover, we are not undertaking any obligation to provide updates in the future. We refer you to the document of the company files from time to time with Specifically, the company's most recent annual report on Form 10-K for the year ended December 31, 2025, its most recent quarterly report on Form 10-Q, and other reports we filed with the SEC. The 2026 Annual Stockholzer Meeting of Hardcore Enterprise, Inc. will now please come to We want to welcome you and express our thanks for your attendance at this meeting. I would like to begin by introducing Kitty Gao, our Chief Financial Officer, Kimio Hosaka, our Chief Operating Officer and Member of the Board of Directors, and our other Board members. A representative of Marlon Bailey LLP, our independent registered public accounting firm, is also presented today. I will now conduct the annual meeting as it relates to the proposal to be voted upon by our shareholders. On or about August 17, 2026, notice of this meeting was given to all shareholders of record at the close of business on July 2027, 2026. I have for inclusion of the record of this meeting an affiliate from Broadbridge Financial Solution, Inc. To that effect, a list of stockholders on the record date has been available for review for at least the past 10 days. The preliminary report of inspector of election is that more than 59.4% of the shares entitled to vote as present in person or by proxy at this meeting. and, therefore, I find there are any sufficient number to constitute a quorum for or purpose of transaction business today. Accordingly, this meeting declares open to proceed with its business. In order to expedite the consideration of voting of the business matters at this meeting, The following is the order of business, which I will follow. Each of the matters to be discussed and acted upon by our stockholders at this meeting will be discussed, moved, and seconded in the order set forth in the proxy statement. We will then vote on each matter to be acted upon. We will now consider Proposal 1, nomination for the directors of serve for the team of one year as set forth in the proxy statement, or until their succession and duty elected by qualified, the Board of Directors prevails to the election of the following person as directors. Sumitaka Yamamoto Ferdinand Grunewald, Kimio Hosaka, Yunji Lee, Koji Sato. These candidates are hereby nominated to be elected director of the company. Other than those candidates, there were no other nominations in accordance with the procedure set forth in a certificate of incorporation and bylaws. May I have motion to close the nomination for directors?

I remember the nomination to be closed. I second the motion. If there are no objections, the nominations are closed.

Next, we will consider Proposal 2, the ratification of the appointment of Marlon Bailey LLB as hardcore independent registered public accounting firm for the fiscal year end, December 31st, 2026, as described in the proxy statement. A motion on Proposal 2 is now in order.

Now that we have reviewed the proposal to be voted upon, I hereby declare the false opener voting. Please remember that if you are ready to send in your proxy card or bought it on the internet or telephone, your shares have been bought it accordingly. Stockholders who have sent in a proxy or already bought it do not need to take any further action. You do not need to vote today unless you are voting for the first time or want to change your previous vote. We will now propose to vote on Proposal 1 and 2.

Then I will now report on the result of stockholder vote. According to the preliminary report of the inspector of election, Each of the proposals presented at this meeting has been approved within the following voting result. Proposal 1 Each of the persons nominated to be director of the company has been elected. Proposal 2 The selection of Marlon Bailey as our independent registered public accounting firm has been ratified. The matters that this meeting was called to consider have been completed. Is there any additional business to come before the meeting? If there is no other business to come before the meeting, I'd like to make some conclusion remarks. I'd like to thank you, our stockholder and invited guests, for your support. and I'd like to emphasize the commitment of each and every member of our team to deliver the best possible result for our company.
