Good morning, and welcome to the 2026 Annual Meeting of Stockholders of Peltos Therapeutics. Our host for today's call is Scott Plescia, Chief Executive Officer. I will now turn the call over to your host, Mr. Plescia. You may begin, sir.
I'm Scott Plescia, Chief Executive Officer, President, and a member of the Board of Directors of Peltos Therapeutics. Thank you for joining us today. We're hosting today's stockholder meeting as a live audio webcasted stockholder meeting. As required under Nevada law, stockholders have been verified through the virtual meeting platform using control numbers, and the platform provides a reasonable opportunity to participate, vote, and hear the proceedings. We refer you to our rules of conduct and procedures, which have been posted to our virtual shareholder meeting website and PELTOS's website. We will now proceed with today's meeting. To expedite the formal part of the meeting, I will move all motions, and we will not require motions to be seconded. It is now shortly after 9 a.m. Eastern Time on September 29th, and this meeting is officially called to order. Also joining me today are John Gay, Health Office's Chief Financial Officer, Treasurer, and Corporate Secretary. Mr. Gay has also been appointed to act as inspector and has taken the oath of inspector of election earlier today, which will be filed with the minutes of this meeting, and Matt McCleary of Representative Grant Thornton, Peltos' independent auditors. Mr. Gay will also act as secretary of this meeting. I have a few announcements as to how this meeting will proceed. Please note that this meeting is being recorded. However, no one attending via the webcast or telephone is permitted to use any audio recording device. The corporate secretary has received an affidavit of mailing from Broadridge Financial Solutions, establishing that notice of this meeting was duly given. A copy of this notice of meeting and the affidavit of mailings will be incorporated into the minutes of this meeting. The board of directors fixed August 4, 2026 as the record date for this meeting, and as such, all contractors and holders of Series A preferred stock at the close of business on August 4, 2026 are entitled to vote at this annual meeting. Now, John Gay, as Secretary of the Company, will give a quorum report. Then, if a quorum is present, we will proceed with the formal business of the meeting and present the proposals to be voted on at today's meeting. John?
Thank you, Scott. A complete list of stockholders entitled to vote at this meeting has been available for inspection as required by the bylaws and is accessible during this meeting via the virtual meeting platform. The stockholders list shows that holders of 3,828,469 shares of the company's common stock and 52,128 shares of the company's Series A preferred stock are entitled to vote to this meeting. The Series A preferred stock votes on an as-converted basis, and they vote as a single class with the common stockholders. I reviewed the re-voting report, which indicates that immediately prior to the commencement of the meeting, 3,396,094 shares of the company's common stock and Series A preferred stock on an as-converted basis were present in person or by proxy, which is in excess of one-third of shares entitled to vote at this meeting and thus constitutes a quorum.
Thank you, John. On the basis of the report of the Secretary, I find that proper notice has been given and that a quorum is present. Accordingly, this meeting has been fully convened and the business of the meeting may proceed. Today, we'll be voting on three proposals that are described in the proxy statement for this annual meeting. The first proposal concerns the election of directors. The board has recommended the election of eight nominees as set forth on page eight in the proxy statement, including myself, Peter Greenleaf, Richard Baxter, Todd Davis, Andrew Einhorn, Ezra Friedberg, Dr. Richard Malamut, and Matthew Pauls, each to serve until the next annual meeting of the company shareholders, or until each of our respective successors are elected and qualified, or until our earlier death, resignation, or removal. No other nominations received prior to the deadline established in the company's bylaws. Therefore, no additional nominations may be made at this meeting. I declare the nominations to be closed. The board recommends a vote for each nominee. The second proposal concerns the ratification of the selection of Grant Thornton LLP as PELTOS's independent auditors for the fiscal year ending December 31, 2026. This proposal is described in further detail beginning on page 30 of the proxy statement. The Board recommends a vote for this proposal. The third and final proposal concerns the PELFOS Therapeutics, Inc. 2026 Equity Incentive Plan, as described beginning on page 33 of the proxy statement. The Board recommends a vote for this proposal. We will now move on to voting. It is now 9.05, and I declare the polls open for the stockholders to cast their ballots on all proposals. Any stockholders entitled to vote who has not yet voted or wishes to change their vote may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in proxies or voted via telephone or Internet and who do not want to change their vote do not need to take any further action. Now that everyone has had the opportunity to vote, I now declare the polls for the 2026 Annual Meeting of Stockholders closed for all proposals at 9.06 a.m. Eastern Time on September 29, 2026, and ask that Mr. Gay collect and tabulate the ballots. We will pause for a time necessary to tabulate votes. I will check in occasionally to let you know that we are still here.
This should only take a few minutes. I now call upon the company secretary, John Gay, to provide a preliminary report on the voting.
Thank you, Scott. The preliminary vote total report shows that each nominee for the director nominated by the board has received the requisite vote for re-election. The preliminary vote report shows that each of the following proposals has received the requisite vote for approval. One, the ratification of the selection of Grant Thornton as the company's independent auditor for the fiscal year ending December 31, 2026, and two, the approval of the Pelfos Therapeutics, Inc. 2026 Equity Incentive Plan. We will be reporting the final vote results in a Form 8K to be filed within four business days.
Based on the preliminary voting report and subject to the final tabulation certification, I hereby declare that the Board of Directors nominees as set forth in the proxy statement have been duly elected, that Proposal 2, the selection of Grant Thornton as the company's independent auditor, has been duly ratified, and that Proposal 3, the Peltos Therapeutics, Inc. 2026 Equity Incentive Plan has been duly approved. That concludes the business for the meeting. The meeting is now adjourned. In concluding, I would like to extend my gratitude to you, our valued stockholders, for your continued support in our mission of building and advancing a portfolio of differentiated cutaneous infectious disease products that address unmet patient needs. There being no further business, our program for the day has concluded. And again, thank you all for joining us today.
The meeting has now concluded. Thank you for joining and have a pleasant day.
