Item 5.07. Submission of Matters to a Vote of Security Holders.

On June 4, 2024, RumbleOn, Inc. (the “Company”) held its 2024 annual meeting of shareholders (the “Meeting”) at a virtual meeting online live via audio webcast.

Each shareholder of Class A common stock was entitled to ten votes per share on each of the director nominees and on each other matter presented at the Meeting. Each shareholder of Class B common stock was entitled to one vote per share on each of the director nominees and on each other matter presented at the Meeting.

The results of the matters submitted to a vote of shareholders at the Meeting were as follows:

Proposal 1 - The nominees for election as directors to serve until the 2025 annual meeting of shareholders or until their successors are duly elected and qualified, were elected based on the following votes:
