Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective September 3, 2026, the Board of Directors of SkinHealth Systems Inc. (the “Company”) promoted its Chief Financial Officer, Michael Monahan, to Chief Financial and Operating Officer (the “Promotion”). In connection with Mr. Monahan’s Promotion, he now oversees all of the Company’s financial operations and the Company’s supply chain, manufacturing, logistics, and customer experience. Effective September 15, 2026, Mr. Monahan's base salary will increase from $515,000 to $555,000 as a result of the Promotion.
Biographical information for Mr. Monahan is contained in the Company’s definitive proxy statement, filed with the U.S. Securities and Exchange Commission on April 24, 2026. There are no arrangements or understandings between Mr. Monahan and any other persons pursuant to which he was appointed to the position of Chief Financial and Operating Officer, there are no family relationships between Mr. Monahan and any of the Company’s directors or other executive officers, and there are no transactions between Mr. Monahan and the Company that would be required to be disclosed pursuant to Item 404(a) of Regulation S-K.
