Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 22, 2021, Susan Neumann provided notice of her intention to resign from her position as the Vice President of Accounting and Controller (Principal Accounting Officer) of Smart Sand, Inc. (the “Company”), effective December 28, 2021. Ms. Neumann is pursuing other career opportunities and her departure is not related to any disputes or disagreements regarding financial disclosures, accounting or legal matters or on any other matter relating to the Company’s operations, policies or practices. Lee Beckelman, the Company’s Chief Financial Officer, will be the Principal Accounting Officer of the Company after Ms. Neumann’s departure.
