Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 14, 2023, The Southern Company (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) reporting the election of Mr. David E. Meador and Ms. Lizanne Thomas to its Board of Directors (the “Board”). At the time of filing the Original 8-K, Board committee assignments for Mr. Meador and Ms. Thomas had not been determined.

The Company is filing this Amendment No. 1 to the Original 8-K to report that, on July 17, 2023, the Board appointed Mr. Meador to the Audit Committee and the Operations, Environmental and Safety Committee and appointed Ms. Thomas to the Audit Committee and the Finance Committee, effective immediately. In addition, the Company anticipates that Ms. Thomas will be appointed to the Nominating, Governance and Corporate Responsibility Committee.
