In connection with the reorganization of the Issuer into MFS MUNICIPAL INCOME TRUST ("MFM"), 330 remarketable variable rate munifund term preferred shares (the "RVMTP Shares") of the Issuer indirectly beneficially owned by JPMorgan Chase Bank, National Association ("JPMCB") were exchanged for an equal number of RVMTP Shares of MFM in a cashless transaction. The 330 RVMTP shares reported as disposed of in Table I represent shares that were indirectly beneficially owned by JPMCB.

The 180 remarketable variable rate munifund term preferred shares reported as disposed of in Table I represent Remarketable Variable Rate Munifund Term Preferred Shares, Series 2051 (the "RVMTP Shares") beneficially owned by JPMorgan Chase Bank, National Association ("JPMCB"). The RVMTP Shares were disposed of as a result of a redemption by the Issuer for a redemption price of $100,000.00 per share (which includes a liquidation preference of $100,000.00 per share and accrued dividends of $0.00 per share).

This Amendment is filed solely to reflect in Column 4 of Table I, that the securities in the reported transaction were Acquired, not Disposed of.

Shares are held by Phillip Goldstein. Bulldog Investors, LLP and Andrew Dakos disclaim beneficial interest in such shares except to the extent of any pecuniary interest therein. Andrew Dakos and Phillip Goldstein are the partners of Bulldog Investors, LLP

The 510 Remarketable Variable Rate Munifund Term Preferred Shares, Series 2051 (the "RVMTP Shares") shown in Table I represent RVMTP Shares of the Issuer that, prior to the transaction date specified above were beneficially owned directly by JPMorgan Chase Bank, National Association ("JPMCB"). On the transaction date specified above, JPMCB deposited the RVMTP Shares into a trust designated as the J.P. Morgan Taxable Putters/Taxable Drivers, Series 5074 Trust (the "Trust"). JPMCB, as a beneficiary of the Trust and through its contractual rights, retains an indirect beneficial ownership in the RVMTP Shares

The 510 Remarketable Variable Rate Munifund Term Preferred Shares, Series 2051 (the "RVMTP Shares") shown in Table I represent RVMTP Shares of the Issuer that, prior to the transaction date specified above were beneficially owned directly by JPMorgan Chase Bank, National Association ("JPMCB"). On the transaction date specified above, JPMCB deposited the RVMTP Shares into a trust designated as the J.P. Morgan Taxable Putters/Taxable Drivers, Series 5074 Trust (the "Trust"). JPMCB, as a beneficiary of the Trust and through its contractual rights, retains an indirect beneficial ownership in the RVMTP Shares

The 13 remarketable variable rate munifund term preferred shares reported as disposed of in Table I represent remarketable variable rate munifund term preferred shares, series 2051 (the "RVMTP Shares") beneficially owned by JPMorgan Chase Bank, National Association ("JPMCB"). The RVMTP Shares were disposed of as a result of a redemption by the Issuer for a redemption price of $100,368.7162 per share (which includes a liquidation preference of $100,000.00 per share and accrued dividends of $368.7162 per share).

The 77 remarketable variable rate munifund term preferred shares reported as disposed of in Table I represent remarketable variable rate munifund term preferred shares, series 2051 (the "RVMTP Shares") beneficially owned by JPMorgan Chase Bank, National Association ("JPMCB"). The RVMTP Shares were disposed of as a result of a redemption by the Issuer for a redemption price of $100,012.8688 per share (which includes a liquidation preference of $100,000.00 per share and accrued dividends of $12.8688 per share).

The 100 remarketable variable rate munifund term preferred shares reported as disposed of in Table I represent remarketable variable rate munifund term preferred shares, series 2051 (the "RVMTP Shares") beneficially owned by JPMorgan Chase Bank, National Association ("JPMCB"). The RVMTP Shares were disposed of as a result of a redemption by the Issuer for a redemption price of $100,027.2329 per share (which includes a liquidation preference of $100,000.00 per share and accrued dividends of $27.2329 per share).

The 50 remarketable variable rate munifund term preferred shares reported as disposed of in Table I represent remarketable variable rate munifund term preferred shares, series 2051 (the "RVMTP Shares") beneficially owned by JPMorgan Chase Bank, National Association ("JPMCB"). The RVMTP Shares were disposed of as a result of a redemption by the Issuer for a redemption price of $100,230.137 per share (which includes a liquidation preference of $100,000.00 per share and accrued dividends of $230.137 per share).
