“In connection with the Company's assessment of going concern considerations in accordance with ASC 205-40, "Presentation of Financial Statements - Going Concern," management has determined that the Company's projected liquidity condition raises substantial doubt about the Company's ability to continue as a going concern. Management intends to address this liquidity need through Working Capital Loans from the Sponsor or its affiliates and by completing a Business Combination; however, there can be no assurance that these plans will be successfully implemented.
