Ordinary shares, no par value, of MDxHealth SA (the "Issuer") purchased pursuant to securities purchase agreements by and between the Issuer and certain private investment vehicles managed by MVM Partners, LLC (the "Funds"), each dated as of August 11, 2026.

The securities reported herein are directly owned by the Funds. The securities may also be deemed beneficially owned by MVM Partners, LLC ("MVM") as the investment manager of the Funds and by Eric Bednarski as Managing Member of MVM. Each of Mr. Bednarski and MVM disclaims beneficial ownership of the reported securities except to the extent of his or its pecuniary interests therein, if any, and this Form 4 shall not be deemed an admission that either Mr. Bednarski or MVM is the beneficial owner of the securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
