“In connection with the Company's assessment of going concern considerations in accordance with FASB ASC 205-40, "Presentation of Financial Statements-Going Concern," management has determined that as of the issuance date of the condensed financial statements included in this Quarterly Report on Form 10-Q, the Company's working capital is not sufficient to fund its operating needs for a period of at least one year. While the sponsor or its affiliates may provide additional financial support, including through loans or capital contributions, they are not obligated to do so and the timing of the funding may not align with the Company's liquidity requirements. Accordingly, these conditions raise substantial doubt about the Company's ability to continue as a going concern within one year after the date the condensed financial statements included in this Quarterly Report on Form 10-Q were issued.”
