Item 8.01 Other Events.

Agassi Sports Entertainment Corp. (the “Company”) has learned that on June 15, 2025, Steven Miller passed away. Mr. Miller had served as a member of the Board of Directors of the Company since April 2013 and will be greatly missed. The Company would like to express its sincere condolences to Mr. Miller’s friends and family.
