Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements ofCertain Officers.

On May 8, 2024, Jonathan Lehberger was appointed Corporate Controller of Automatic Data Processing, Inc. (the “Company”), effective July 1, 2024.  In this capacity, Mr. Lehberger will serve as the Company's principal accounting officer.  Mr. Lehberger, age 51, will succeed Brock Albinson, who will be stepping down from this role as of June 30, 2024.  Prior to his appointment as Corporate Controller, Mr. Lehberger served as Senior Vice President, Financial Strategy and Planning since April 2022, Chief Financial Officer (“CFO”) for Small Business Services from May 2021 to March 2022, and CFO, Major Account Services and ADP Canada from January 2017 to April 2021. Prior to this, Mr. Lehberger served in various roles of increasing responsibility in the finance organization since joining the Company in January 2004.
