Resignation of Officer

On December 13, 2023, Steven Yuan Ning Sim tendered his resignation as the Chief Financial Officer of AGM Group Holdings Inc. (the “Company”), effective December 13, 2023. Mr. Sim’s resignation was for personal reasons and was not the result of any disagreement with the Company’s operations, policies or procedures. The Company plans to initiate a search for a candidate to assume certain of Mr. Sim’s responsibilities as the Chief Financial Officer.
