Departure of Director or Officer

On December 22, 2020, Xiaoding Wu tendered his resignation as Chief Operating Officer of AGM Group Holdings Inc. (the “Company”), effective December 31, 2020.  Ms. Wu’s resignation as Chief Operating Officer is not the result of any disagreement with the Company’s operations, policies or procedures. The Board of Directors agreed that it was important to find a suitable candidate as soon as practicable and has begun the process of seeking a replacement officer.
