On February 4, 2025, Douglas D. Wheat, the Chairman of the Board of Directors (the “Board”) of AMN Healthcare Services, Inc. (the “Company”) notified the Company of his decision to retire from the Board, effective immediately. Upon his retirement, Mr. Wheat was designated by the Board as Chairman Emeritus of the Board, and Mark G. Foletta was appointed to serve as Chairman of the Board. Mr. Wheat’s decision to retire was not because of any disagreement with the Company or the Board on any matter relating to the Company’s operations, policies or practices.
