Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 22, 2024, Abercrombie & Fitch Co. (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) announcing the appointment of Andrew Clarke to the Company’s Board of Directors (the “Board”) effective August 21, 2024.
In accordance with Instruction 2 to Item 5.02 of Form 8-K, the Company is filing this Amendment No. 1 to the Original 8-K (this “Amendment”) to provide information regarding committee assignments for Mr. Clarke, which had not been determined at the time of the filing of the Original 8-K.
On November 20, 2024, upon the recommendation of the Nominating and Board Governance Committee of the Board, the Board appointed Mr. Clarke to serve as a member of the Compensation and Human Capital Committee, with such appointments to be effective immediately and with such service to be at the pleasure of the Board.
Except as expressly set forth herein, this Amendment does not amend the Original 8-K in any way and does not modify or update any other disclosures contained in the Original 8-K. This Amendment supplements the Original 8-K and should be read in conjunction with the Original 8-K.
