Item 8.01. Other Events.

On February 24, 2020, Abercrombie & Fitch Co. (the "Company") issued a news release reporting that the Board of Directors of the Company had declared a quarterly cash dividend of $0.20 per share in respect of the Company’s Class A Common Stock. The dividend was declared on February 21, 2020 and is payable on March 16, 2020 to stockholders of record at the close of business on March 6, 2020. A copy of the news release is included with this Current Report on Form 8-K as Exhibit 99.1 and incorporated herein by reference.
