Item 8.01 Other Events

On May 2, 2021 American Resources Corporation (or the “Company”) received a letter from the Nasdaq Stock Market stating that the Company has regained compliance under Nasdaq Listing Rule 5620(a) (the “Rule”) upon holding its Annual Meeting of Shareholders on April 30, 2021 and the subsequent Form 8-K filed with the Securities and Exchange Commission. Based on the successful completion of its Annual Meeting of Shareholders and Form 8-K filed on April 30, 2021, the Nasdaq Staff has determined that the Company complies with the Rule. As such, this matter is now closed.
