Item 8.01 Other Events.

On February 3, 2026, Avant Technologies, Inc., a Nevada corporation (the “Company”) filed a Certificate of Amendment of its Articles of Incorporation with the Secretary of State of the State of Nevada to change the name of the Company to Avaí Bio, Inc. The Company’s ticker symbol will remain “AVAI.”
