Item8.01 Other Events.

On May 23, 2022, Awaysis Capital, Inc. (formerly JV Group, Inc. (the “Company”) announced on Form 8-K, among other things, that the Company changed its ticker symbol from “ASZP” to “AWYS” (the “Symbol Change”), and that effective May 20, 2022, the Company’s common stock, par value $.01 per share (“Common Stock”), began trading on the OTC Market under the new symbol. The Symbol Change was approved by FINRA.

On May 24, 2022, the Company was informed by FINRA that the symbol AWYS was in fact reserved and was not available for use by the Company notwithstanding FINRA’s prior approval and notice, and required the Company to pick a new ticker symbol.

Accordingly, the Company, with further FINRA approval, further changed its ticker symbol from “AWYS” to “AWCA”, and that effective May 25, 2022, the Company’s Common Stock will trade on the OTC Market under the new symbol.
