Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously disclosed in a Current Report on Form 8-K filed by Butterfly Network, Inc. (the “Company”) on May 8, 2026, Dr. Erica Schwartz notified the Company’s Board of Directors (the “Board”) that she would resign as a director of the Company subject to and effective upon her confirmation as Director of the Centers for Disease Control and Prevention by the U.S. Senate. Dr. Schwartz was confirmed to that position on August 5, 2026, and her resignation was automatically effective upon such confirmation. Dr. Schwartz’s resignation as a director is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
A copy of the press release announcing the resignation of Dr. Schwartz from the Board and congratulating her on her confirmation is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Butterfly Network Congratulates Dr. Erica Schwartz on Confirmation as CDC Director
BURLINGTON, Mass. & NEW YORK– August 11, 2026 -- Butterfly Network, Inc. ("Butterfly") (NYSE: BFLY), a pioneer and leader in semiconductor-based ultrasound devices, programmable cloud software and AI, congratulates Dr. Erica Schwartz on her confirmation as director of the Centers for Disease Control and Prevention (CDC). Dr. Schwartz has served as a member of Butterfly Network's Board of Directors since 2021 and has stepped down from the Board effective August 5, 2026 in advance of assuming her new role.
