ExplanatoryNote

On July 23, 2026, a securities class action complaint (the “Action”) was filed in the Supreme Court of the State of New York, County of New York, naming as defendants more than 30 publicly traded companies in the U.S., including Basel Medical Group Ltd (the “Company”), more than 10 broker-dealer firms in the U.S. and certain other named individuals. The summons and complaint were served on the process agent of the Company on August 5, 2026. The Company is currently reviewing the merits of such Action. The action is at an early stage and the Company is unable to predict such contingency or estimate any likely outcome at this time.
