Item 7.01 Regulation FD Disclosure.
On November 12, 2024, 1606 Corp., a Nevada corporation (the “Company”), filed a press release which announced the completion of a merger agreement by Adnexus Biotechnologies Inc. (a company with whom the Company has a letter of intent to acquire a 5% equity stake) to acquire Sanctum Therapeutics core technology assets for treating HIV and SARS-CoV-2.
