Item5.03 Amendment to Articles of incorporation or Bylaws; Change in Fiscal Year.

On July 27, 2021, China Recycling Energy Corporation, a Nevada corporation (the “Company”), filed a certificate of change to the Company’s Articles of Incorporation with the Secretary of State of the State of Nevada to increase the total number of the Company’s authorized shares of common stock from 10,000,000 shares to 100,000,000 shares, par value $0.001 per share.

A copy of the certificate of change is attached hereto as Exhibit 3.1.
