Item 5.02 Departure of Directors or CertainOfficers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 27, 2025, Daniel Marcus provided the Board of Directors (the “Board”) of Crown Electrokinetics Corp., a Delaware corporation (the “Company”), with his formal resignation from the Board and all committees thereof, effective July 1, 2025. Mr. Marcus was a member of the governance and nominating committee of the Board and was chair of the audit committee and the compensation committee of the Board. Mr. Marcus’ decision to resign was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices (financial or otherwise).
