ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
In a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on January 8, 2025, Everest Group, Ltd. (“Everest”) disclosed that its Board of Directors (the “Board”) had appointed Jim Williamson as Acting Chief Executive Officer (“Acting CEO”) and as a member of the Board.
In recognition of his new responsibilities, Mr. Williamson will receive an additional stipend of $25,000 per month during his tenure as Acting CEO pursuant to a letter agreement dated January 13, 2025 (the “Letter Agreement”). The Letter Agreement did not change any of the other terms of Mr. Williamson’s compensation.
The above description is qualified in its entirety by reference to the Letter Agreement, a copy of which is attached hereto as Exhibit 10.1 and incorporated by reference herein.

I am pleased to advise that in recognition of your new responsibilities as Acting Chief Executive Officer, Everest Group, Ltd., effective immediately, you will receive a monthly stipend of $25,000 (less applicable withholdings). This monthly stipend will be paid to you in the second payroll of each month and will continue to be paid as long as you serve in the role of Acting Chief Executive Officer, Everest Group Ltd.
Other than the above, no other terms of your compensation are changing at this time.
