Item2.02. Results of Operations and Financial Condition.

On August 16, 2021, Elite Pharmaceuticals, Inc. (“Elite” or the “Company”) filed its quarterly report on Form 10-Q for the quarter ended June 30, 2021, and, thereafter, issued a press release announcing its financial results for that quarter. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

As noted in the press release, the Company will host a conference call at 11:30 AM Eastern Daylight Time (EDT) on Tuesday, August 17, 2021, to provide a general business update. Elite will respond to various stockholder questions submitted prior to the call.

Northvale, NJ – August 16, 2021: Elite Pharmaceuticals, Inc. (“Elite” or the “Company”) (OTCBB: ELTP), a specialty pharmaceutical company developing niche generic products, announced results for the first quarter of fiscal year 2022 ended June 30, 2021 (“First Quarter”).

Total revenues for the three-month period ended June 30, 2021 decreased by $0.5 million or 6%, to $7.1 million, as compared to $7.5 million, for the corresponding period of the prior year, primarily due to timing of sales of Amphetamine IR Tablets and Amphetamine ER Capsules. Stronger margins produced operating profits of $1.0 million, an increase of $0.2 million from the comparable period of the prior year, and net income was $2.4 million.
