Item1.01 Entry into a Material Agreement

On March 15, 2025, Earth Science Tech, Inc., a Florida corporation (the “Company”), amended its January 30, 2025, Acquisition Agreement with Las Villas Healthcare, LLC and Doconsultations.com, LLC (the “Targets”). The amendment reduces the purchase price from four hundred thousand dollars to two hundred thousand dollars. Under the terms of the original agreement, the Targets had already received an initial payment of fifty thousand dollars. The remaining balance of one hundred fifty thousand dollars will be paid at closing, which is scheduled to occur following the completion of the ongoing ninety-day due diligence period.
