Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 20, 2026, the Board of Directors (the “Board”) of FibroBiologics, Inc. (the “Company”) appointed Leigh Steinberg as a Class II director of the Board, effective August 20, 2026, to serve until the expiration of his term at the 2028 annual meeting of stockholders.
In connection with his appointment, Mr. Steinberg will be entitled to receive compensation consistent with that of the Company’s other non-employee directors under the Company’s Non-Employee Director Compensation Policy, as such policy may be amended from time to time.
Mr. Steinberg is not a party to any transaction with the Company that would require disclosure under Item 404(a) of Regulation S-K, and there are no arrangements or understandings between Mr. Steinberg and any other persons pursuant to which he was selected as a director.
The Company also entered into its standard form of indemnification agreement with Mr. Steinberg, which will require the Company to indemnify Mr. Steinberg against certain liabilities that may arise as a result of his status or service as a director of the Company. The description of the Company’s standard form of indemnification agreement is qualified in its entirety by reference to the full text of the form of indemnification agreement, a copy of which is filed as Exhibit 10.19 to the Company’s Annual Report on Form 10-K filed with the SEC on February 24, 2026.

(Nasdaq: FBLG) ("FibroBiologics"), a clinical-stage biotechnology company with 270+ patents issued and pending with a focus on the development of therapeutics and potential cures for chronic diseases using fibroblasts and fibroblast-derived materials, today announced the appointment of Leigh Steinberg to its Board of Directors. Widely regarded as the most influential sports agent of his generation, Mr. Steinberg brings five decades of dealmaking experience, a deep commitment to human longevity research, and a long record of initiatives in chronic disease awareness and management.
