Item 5.02. Departure of Directors or Certain Officers; Election of Directors;Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(a)           By letter dated July 10, 2020 (received on July 13, 2020), Cecelia K. Maynard, age 69, resigned as the Director and a member of any committee of the Board of Directors of New Concept Energy, Inc. (the “Company” or the “Issuer” or the “Registrant”). Ms. Maynard had been a Director of the Company since January 18, 2019. Ms. Maynard was employed by Pillar Income Asset Management, Inc. (“Pillar”) from January 2011 through December 31, 2018. Pillar is a Nevada corporation which provides management services to other entities. Ms. Maynard had no disagreement with the Registrant on any matter relating to the Registrant’s operations, policies or practices.

After giving effect to the resignation of Ms. Maynard, the Board of Directors of the Company continues to have a majority of independent directors who constitute the Audit Committee, the Compensation Committee, and the Governance and Nominating Committee of the Board of Directors. Following Ms. Maynard’s resignation, on July 13, 2020, the number of members of the Board of Directors was reduced from five to four.
