EXPLANATORY NOTE

Mr. Ming-I Peng has tendered his resignation from his position as the chief product officer of the Company, which is expected to be effective on September 13, 2024. Mr. Peng’s resignation was due to personal reasons and not because of any disagreement with the Company, its management, the Board or any committee of the Board.

This Form 6-K shall be deemed to be filed with the Securities and Exchange Commission and incorporated by reference into the Company’s registration statement on Form F-3 (File No. 333-264619), and shall be a part thereof, to the extent not superseded by documents or reports subsequently filed or furnished.
