Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 25, 2025, William W. Harkins informed Mohawk Industries, Inc. (the “Company”) that he will be resigning to pursue another opportunity, effective March 14, 2025. In addition to his duties as Chief Financial Officer, James F. Brunk (age 59) will serve as Chief Accounting Officer and Corporate Controller of the Company on an interim basis, effective March 14, 2025, while the Company conducts a search for a permanent replacement. Mr. Brunk joined the Company in October 2006 as Chief Financial Officer of the Company’s Mohawk Home business. Mr. Brunk then served as Chief Accounting Officer and Corporate Controller of the Company from May 2009 until his appointment as the Company’s Chief Financial Officer in April 2021.
