Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers

On September 5, 2025, MSC Industrial Direct Co., Inc. (the “Company”) announced leadership changes in connection with a reorganization of certain of its sales and corporate functions intended to better align the Company’s organization with its business objectives. In connection with this reorganization, effective September 29, 2025, Kim Shacklett, the Company’s Senior Vice President, Sales & Customer Success, will become the Senior Vice President, Customer Experience and, effective September 30, 2025, Jahida Nadi will join the Company as Senior Vice President, Sales. The Company also announced that, effective September 5, 2025, Julie Rockett became Vice President, Chief People Officer.
