Results of the Annualand Special General Meeting of Shareholders

On June 28, 2023, Maris-Tech Ltd. (the “Company”) held an Annual and Special General Meeting of Shareholders (the “Meeting”) for the following purposes:

Proposal No. 1	To re-appoint Kesselman & Kesselman, a member firm<br>of PwC International Limited as the independent auditor of the Company and to authorize the Board of Directors of the Company to determine<br>their remuneration, until the next annual general meeting of the Company’s shareholders;
Proposal No. 2	To re-appoint Amitay Weiss and Ms. Naama Falach Avrahamy<br>to serve as a Class II directors for a three-year term continuing until the Company’s 2026 annual general meeting of shareholders<br>and to approve the compensation of each of Mr. Weiss and Ms. Avrahamy;

Proposal No. 3	To approve the repricing of options granted to certain<br>of the Company’s officers and directors under the Company’s share option plan; and

Proposal No. 4	To approve the repricing of options granted to a service<br>provider of the Company under the Company’s share option plan, who is a relative of Mr. Israel Bar, the Chief Executive Officer<br>and a director of the Company.

At the Meeting, a quorum was present and the shareholders of the Company present or represented by proxy approved each proposal as presented at the Meeting and described in the Proxy Statement.
