Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 12, 2024, David Natan delivered his resignation as a member of the Company’s Board of Directors, effective immediately. Such resignation was not a result of a disagreement with the Company or the Board on any matter relating to the Company’s operations, policies or practices or any other matter.
