Item 5.02 Departure of Directors or CertainOfficers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 27, 2023, Cheng Lu Min Huay and Yih-Yu (“Grace”) Lei resigned as members of the board of directors of Nocera, Inc. (the “Company”) Neither director’s resignation was the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company’s board of directors is actively interviewing several candidates to serve as an independent member of the board of directors.

On July 27, 2023, David Yu-Lung Kou resigned as the Acting Chief Executive Officer of the Company. Mr. Kou’s resignation was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company’s board of directors is actively interviewing several candidates to serve as the Chief Executive Officer of the Company.
