Item 1.02 Termination of a Material DefinitiveAgreement.

On September 30, 2022, Nocera, Inc., a Nevada corporation (the “Company”), filed a Current Report on Form 8-K with the Securities and Exchange Commission regarding the Company’s entry into a Variable Interest Entity Purchase Agreement (the “iTake Purchase Agreement”) with iTake Inc., a Taiwan corporation (“iTake”), on September 26, 2022, pursuant to which the Company was to purchase a 51% controlling interest in iTake.

On October 31, 2022, the iTake Purchase Agreement was terminated due to the inaccessibility of iTake’s accounting records necessary for the Company’s consolidation and audit purposes.
